One-on-One Private Mentoring Service Agreement

This service agreement is entered into between Linda Casselman (the Mentor) and You, the Client. It will begin on the First Day of your booked 30-Day mentoring service and will end at the completion of your 30th Day.

SERVICE:

Upon execution of this Agreement and receipt of payment, you will have access to mentoring support via Email or Voxer (depending upon your chosen service) on the agreed upon days and during the scheduled hours.

The purpose of the service is to help you gain a deeper understanding of and provide support in your personal quest to achieve self-mastery. This service includes but is not limited to: providing information and insight, transfer of knowledge, brainstorming, answering and asking questions, follow-ups and motivation techniques.

PAYMENT & FEES:

The entirety of the Fees are due and payable via electronic transfer upon booking your Service. No payment plans or installment plans are available. 

INTELLECTUAL PROPERTY:

The mentor’s copyrighted and original materials may be provided to you for your individual use only and a single-user license. You shall not be authorized to use any of the mentor’s intellectual property for your business purposes. You shall not be authorized to share, copy, distribute, or otherwise disseminate any materials received from the mentor electronically or otherwise without the prior written consent of the mentor. All intellectual property, including the mentor’s copyrighted course materials, shall remain the sole property of the mentor. No license to sell or distribute the mentor’s materials is granted or implied.

LIMITATION OF LIABILITY:

By using the mentor’s services, you release the mentor from any and all damages that may result from anything and everything. The Service is only an educational and consulting service being provided. You accept any and all risks, foreseeable or unforeseeable, arising from these transaction(s).

You agree that the mentor will not be held liable for any damages of any kind resulting or arising from including but not limited to; direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of the mentor’s services. You agree that use of the mentor’s services is at your own risk.

NO WARRANTIES:

You agree that your participation in the Service is at your sole and exclusive risk and that any Services provided by the mentor are on an "As Is" basis. The mentor hereby expressly disclaims any and all express or implied warranties of any kind, including, but not limited to the implied warranty of fitness for a particular purpose and the implied warranty of merchantability. The mentor makes no warranties that the Service will meet your needs or that the Service will be uninterrupted, error-free, or secure. The mentor also make no warranties as to the reliability or accuracy of any information in the Service or on the Website. You agree that any damage that may occur to you, through your computer system, or as a result of loss of your data from your participation in the Service is your sole responsibility and that the mentor is not liable for any such damage or loss.

DISCLAIMER OF GUARANTEE:

You accept and agrees that you are 100% responsible for you progress and results from the Service. You accept and agree that you are the one vital element to the Service’s success and that we cannot control you and/or your participation. You commit to accepting assignments/exercises/sessions presented by the Mentor and to participating fully for your benefit. If you are unwilling/unable to participate in exercises/assignments/sessions, the contract is terminable at our option without recourse or refund of any kind.

The mentor makes no representations or guarantees verbally or in writing regarding performance of this Agreement other than those specifically enumerated herein. You accept that, because of the nature of our services and the extent of your participation in the Service's exercise(s)/recommendation(s), the results experienced by clients significantly vary and accept responsibility for such variance.

COMPORTMENT RULES:

You agree to at all times behave courteously, and respectfully with the mentor. The failure to do so shall be cause for termination of this Agreement. In the event of such termination, you will not be entitled to recoup any amounts paid and shall remain responsible for all outstanding amounts of the Fee.

MENTORING/TRAINING TERMS:

We do not offer any promises or guarantees with regard to our Mentoring or Training Materials. You hereby acknowledge and agree:

A) You are solely and exclusively responsible for the choices that you make with regard to this Mentoring, the Materials contained within it, or any significant changes to your life;
B) You are solely and exclusively responsible for your own mental health, physical health, and any other decisions, actions or inaction you choose to take;
C) The mentor is not liable for any result or non-result or any consequences which may come about due to your participation in the Mentoring;
D) This Mentoring does not constitute a therapeutic relationship or a medical one. We do not provide therapy or medical services and you are responsible for procuring these services at your own will and discretion if needed.

CONFIDENTIALITY:

Anything that is said or revealed in the sessions between mentor and client is privileged information and will not be disclosed to any outside party. The exception is if the information revealed includes disclosure of illegal, unethical or criminal activities.

TERMINATION:

Termination of this agreement may occur at the discretion of the mentor when an impasse is reached with the client. 
Examples of terminable offenses:
⦁ Lack of payment
⦁ Lack of adherence to comportment rules
⦁ Violating our intellectual property rights
You may also terminate this Agreement at any time by contacting us and requesting termination. At the termination of this Agreement, any provisions that would be expected to survive termination by their nature shall remain in full force and effect.
Please be advised that terminating this Agreement does not entitle you to a refund on any monies spent with us.

FORCE MAJEURE:

The mentor is not liable for any failure to perform due to causes beyond our reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
